Deputy Director, Company Secretariat

External Job Description

What You'll Do (Job Summary and Key Roles & Responsibilities)

Position Summary: Leads the Team to provide all-round company secretarial services to the Group and to ensure the compliance with the legal and statutory requirements.

Key roles and Responsibilities:

  • To assist in:
    • planning and organizing the Board and Shareholders’ Meetings;
    • preparing annual and interim reports and other corporate communications; and
    • reviewing business transactions and handling legal documents/commercial contracts.
  • To deal with government and regulatory bodies in company secretarial related matters and ensure the operations of Group in compliance with the Main Board Listing Rules, SFO reporting requirements, company secretarial practices and other compliance regulations for companies incorporated in Hong Kong, PRC and other overseas jurisdictions.
  • To draft and prepares minutes for meetings, resolutions, announcements and regular reports.
  • To train and supervise subordinates.
  • To performs ad hoc duties and special transactions.


Who You'll Work With

  • You will report to the Director – Company Secretariat and also to the General Counsel and Company Secretary.
  • You have to lead a team and wok closely with your team members.


Who You Are 

Education

  • Degree holder in Corporate Governance or related disciplines
  • Good knowledge of PRC company law is an added advantage

 

Experience

  • Minimum Experience: 15 Years, with at least 8 years’ supervisory experience in Hong Kong listed companies or professional firms

 

Professional Qualifications

  • Member of HKICS / CGI


Competencies

  • Business Expertise: Has comprehensive understanding of all functions of Company Secretariat. Has comprehensive knowledge of Main Board Listing rules, SFO reporting requirements, company secretarial practices and other compliance regulations for companies incorporated in Hong Kong, PRC and other oversees jurisdictions.
  • Problem Solving: Uses own expertise and judgement to define and solve problems subject to legal requirements, departmental policies, procedures and practices.
  • Nature & Area of Impact: To develop, manage & execute departmental strategies & policies in area of Company Secretariat. Affects own team.
  • Interactions / Interpersonal Skills: Interacts with Department Heads and various Departments internally; represents the Company to deal with government and regulatory bodies externally


Language

  • Excellent command spoken English, Cantonese and Putonghua
  • Writing Skills: Excellent command in both English & Chinese


Other Skills and Requirements

  • PC Knowledge: Proficiency in MS Office
